Software License Agreement

Effective Date: November 2, 2025

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and Ikalogic for the use of Ikalogic software products, including but not limited to ScanaStudio, CS8000 SwitchMaster, and related applications ("Software").

By downloading, installing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.

1. License Grant​

Ikalogic grants you a non-exclusive, non-transferable license to use the Software in accordance with the terms of this Agreement. The Software is licensed, not sold.

Permitted Uses:​

  • Install and use the Software on computers or devices you own or control
  • Use the Software for commercial or personal purposes
  • Make backup copies for archival purposes

Restrictions:​

  • You may not reverse engineer, decompile, or disassemble the Software
  • You may not modify, adapt, or create derivative works based on the Software
  • You may not rent, lease, lend, sell, redistribute, or sublicense the Software
  • You may not remove or alter any copyright, trademark, or proprietary notices

2. Ownership and Intellectual Property​

The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. Ikalogic retains all rights, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights.

3. Updates and Support​

Ikalogic may provide updates, patches, or upgrades to the Software at its sole discretion. Such updates may be automatically downloaded and installed. You agree that Ikalogic has no obligation to provide support, maintenance, updates, or corrections.

4. Data Collection and Privacy​

The Software may collect anonymous usage data and technical information to improve product quality and user experience. This data does not include personally identifiable information unless explicitly provided by you. For more information, please refer to our Privacy Policy.

5. Hardware Compatibility​

Some Software requires compatible Ikalogic hardware devices to function properly. The Software is designed to work exclusively with genuine Ikalogic hardware products. Use with unauthorized or counterfeit devices is not supported and may result in reduced functionality or software errors.

6. Disclaimer of Warranties​

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Ikalogic does not warrant that:

  • The Software will meet your requirements
  • The operation of the Software will be uninterrupted or error-free
  • All defects in the Software will be corrected

7. Limitation of Liability​

IN NO EVENT SHALL IKALOGIC BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF IKALOGIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you.

8. Export Restrictions​

You agree to comply with all applicable export and import laws and regulations. You may not export or re-export the Software to any country, person, or entity subject to export restrictions.

9. Termination​

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

10. Governing Law​

This Agreement shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts of France.

11. Entire Agreement​

This Agreement constitutes the entire agreement between you and Ikalogic regarding the Software and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, regarding the Software.

12. Amendments​

Ikalogic reserves the right to modify this Agreement at any time. Continued use of the Software after such modifications constitutes acceptance of the updated terms.
